Terms of Use
Please read these terms carefully. They form a legal agreement between you and Datgel Asia Pte. Ltd..
These Terms of Use (“Terms”) govern your access to and use of Email Sprucer, together with its related website and online services (the “Service”), operated by Datgel Asia Pte. Ltd. (UEN 201132358H), a company incorporated in Singapore with its registered office at 1 North Bridge Road, #08-08, High Street Centre, Singapore 179094 (“Datgel”, “we”, “us” or “our”). “You” and “your” refers to the person or organisation using the Service.
By creating an account or using the Service, you agree to these Terms, our Privacy Policy, Acceptable Use Policy, Refund & Cancellation Policy and, for the software, our End-User Licence Agreement (EULA), all of which are incorporated into these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract to create an account. The Service is a productivity tool intended for adults and for business use; it is not directed to children.
- If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” refers to that organisation.
- You must provide accurate information and keep your account credentials secure. You are responsible for activity that occurs under your account. Tell us promptly at [email protected] if you suspect unauthorised use.
2. The Service
Email Sprucer files your email into folders according to rules you define, by matching a sender or recipient address, an email domain, or a code in the subject line. Depending on the plan and the surface you use, it may also find and remove duplicate messages, scan for contacts that are missing from your records, and read matching data from a data source you connect.
It is supplied as an add-in for Microsoft Outlook — a desktop add-in for classic Outlook on Windows, and a web add-in for new Outlook, Outlook on the web and Outlook for Mac — together with an optional hosted account and this website. Microsoft Outlook, Microsoft 365, Microsoft Dynamics 365 and Windows are not part of the Service, are governed by their own terms, and are your responsibility to license and operate.
Features, plans and availability may change, and some features depend on your device, your software environment and your internet connection. We may add, change or remove features, and we may set reasonable limits (for example on storage, seats or usage).
3. Seats, devices and organisations
Unless your order states otherwise, the Service is licensed on a per-user (per-seat) subscription basis. A seat authorises one identified user to use the Service during the paid term. Where your organisation holds a pool of seats, the seat you use is drawn from that pool, and your organisation’s administrator can manage who holds one.
We may record an identifier for each device you sign in on, together with limited device details, so that you can see and remove your signed-in devices and so we can apply the limit on how many devices your plan covers. This is described in the Privacy Policy.
4. Your data and content
- You keep ownership. The rules, configuration, records, files and other material you create, import or connect (“Your Content”) remain yours.
- Licence to us. You grant Datgel a non-exclusive, worldwide licence to host, store, process, transmit and display Your Content solely to operate and provide the Service to you. This licence ends when you delete the content or your account, except for residual copies in backups purged on our normal rotation.
- Your responsibility. You are responsible for Your Content and must have the necessary rights to it, including the right to connect any data source you connect and to process any personal data it contains. Where Your Content includes other people’s personal data, you are the controller of that data and we process it on your instructions.
Your use of the Service must also comply with our Acceptable Use Policy.
5. Software licence
The software is licensed, not sold, to you under our End-User Licence Agreement. In the event of any conflict between the EULA and these Terms in respect of the software, the EULA prevails for that software.
6. Subscriptions, billing and taxes
- The Service may offer a free tier and one or more paid plans. Paid plans are purchased and managed as described at the point of sale (for example, on our website or through a marketplace), and payments are processed by our payment provider or the applicable marketplace.
- A paid plan is a licence for the term stated at the point of sale. Unless that plan says otherwise, it does not renew automatically. Where a plan is sold as an automatically renewing subscription, it renews for successive periods at the then-current price until cancelled, and by subscribing you authorise us and our payment provider to charge your payment method for each renewal.
- Prices are stated at checkout and may be exclusive or inclusive of applicable taxes (such as Singapore GST) as indicated. We may change prices; we will give reasonable notice before a change affects a renewal, and the new price applies from your next renewal.
- You can cancel at any time. Cancellation, refunds and your statutory rights are described in our Refund & Cancellation Policy and Right of Withdrawal notice.
- If you purchase through a marketplace, that marketplace’s billing and refund rules also apply.
7. Acceptable use
You must use the Service lawfully and in accordance with our Acceptable Use Policy. Among other things, you must not misuse the Service, attempt to breach its security, interfere with its operation, use it to infringe others’ rights, or use it to build a competing product. We may suspend or terminate access for breach.
8. Intellectual property
The Service, including the software, design, branding, text, graphics and other materials we provide (but excluding Your Content and third-party materials), is owned by or licensed to Datgel and is protected by intellectual-property laws. We grant you a limited, non-transferable, non-exclusive right to use the Service in accordance with these Terms and the EULA. Our product names and logos are trademarks of Datgel; you may not use them without our written permission. All rights not expressly granted are reserved.
9. Third-party services
The Service relies on third-party providers (for example, cloud hosting, AI providers, payments and marketplaces) and may link to or interoperate with third-party services. We are not responsible for third-party services or content, and your use of them may be subject to their own terms.
In particular, where you connect your own Microsoft Dynamics 365 organisation, configure your own AI endpoint, or obtain Email Sprucer through the Microsoft commercial marketplace (AppSource), your relationship with that provider is governed by its terms, and you are responsible for having the rights and licences needed to connect it and to process the data it contains.
10. Disclaimers
To the fullest extent permitted by law, and subject to your non-excludable statutory rights, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that its outputs will be accurate or complete. See also our Disclaimer.
Specifically, we do not warrant that Email Sprucer will correctly file every email, that it will identify every duplicate or only true duplicates, or that contact details it extracts will be accurate. Email Sprucer moves and deletes real email on your instructions: you are responsible for reviewing the plan shown before each run, for verifying the result, and for maintaining your own backups. See our Disclaimer.
11. Limitation of liability
To the fullest extent permitted by law, Datgel and its officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits, goodwill or opportunity, arising out of or in connection with the Service. To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with the Service or these Terms is limited to the greater of (a) the amount you paid us for the Service in the twelve (12) months before the event giving rise to the liability, or (b) SGD 100. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including certain rights you may have as a consumer under the Consumer Protection (Fair Trading) Act 2003 of Singapore.
12. Indemnity
You agree to indemnify and hold Datgel harmless from claims, losses and expenses (including reasonable legal costs) arising from Your Content, your use of the Service in breach of these Terms or applicable law, or your infringement of a third party’s rights.
13. Suspension and termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or its users. On termination, your right to use the Service ends; sections that by their nature should survive (such as the content licence for backups, intellectual property, disclaimers, limitation of liability and indemnity) will survive.
Getting Your Content back. If your subscription or free period ends and is not renewed, we keep the data held in your account for three months from that date so you can export it or pick up where you left off, and we email you when the subscription ends and again before that deadline. After that date we delete it from our live systems and it cannot be recovered; residual copies in encrypted backups are purged on our normal backup-rotation cycle. Subscribing again before the deadline stops the deletion. This does not apply where we terminate for breach of these Terms or where the law requires otherwise. Data held only on your own device is not affected — you control that directly.
14. Changes to these Terms
We may change these Terms from time to time — for example to reflect new features, new plans, or changes in law or our practices. We reserve the right to update them at any time. When we make a material change, we will take reasonable steps to notify you before it takes effect — for example by posting a notice in the app, updating the effective date at the top of these Terms, and/or emailing the address associated with your account. Your continued use of the Service after a change takes effect means you accept the updated Terms. If you do not agree to a change, you must stop using the Service, and you may cancel your subscription and/or delete your account.
15. Governing law and jurisdiction
These Terms and any dispute arising out of or in connection with them or the Service are governed by the laws of Singapore. You and Datgel submit to the exclusive jurisdiction of the courts of Singapore, without prejudice to any non-excludable rights you may have to bring proceedings in your country of residence. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16. General
These Terms (together with the policies incorporated by reference) are the entire agreement between you and Datgel regarding the Service. If any provision is found unenforceable, the remaining provisions continue in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition or sale of assets. Nothing in these Terms creates a partnership, agency or employment relationship.
